Terms of Service
Retto is a software tool operated by Collective Digital UK. These Terms govern your salon's use of the platform. By creating an account or using the service, you accept these Terms on behalf of your business and agree that your salon, not Collective Digital UK, owns client relationships, client data decisions, and day-to-day compliance obligations described below.
1. Agreement
These Terms of Service ("Terms") are between Collective Digital UK ("we", "us", "Retto") and the business entity or sole trader that registers for Retto("you", "Customer", "Salon"). If you use Retto on behalf of a salon, you confirm you have authority to bind that business.
Retto is business software, not legal, tax, or compliance advice. You are solely responsible for how your salon uses the platform and for meeting all laws that apply to your business.
2. The service (provided "as is")
- Retto provides booking, calendar, customer, team, and communication tools. We do not provide salon services to your clients, you do.
- The service is provided on an "as is" and "as available" basis. We do not warrant that it will be uninterrupted, error-free, secure from all threats, or fit for your particular purpose.
- Features may change, be added, or be removed. We are not liable for downtime caused by maintenance, updates, internet failures, or third-party providers (including Supabase, hosting, Resend, or Twilio).
- Card payment processing is not provided by Retto. Any payment arrangements between your salon and clients are solely your responsibility.
- We are not responsible for appointments booked, missed, cancelled, or disputed between your salon and your clients.
3. Your salon's responsibilities
Your salon bears full ownership, risk, and responsibility for business conducted through Retto, including:
- All personal data you and your team enter, edit, export, or delete about clients, staff, and others
- The accuracy, lawfulness, and completeness of client records, marketing consent flags, and message content
- Obtaining and documenting valid consent and lawful bases under UK GDPR, PECR, and other applicable law
- Providing your own privacy notice and client-facing terms; your clients' relationship is with you, not Retto
- Staff training, access control, password hygiene, and removal of access when team members leave
- Appointment scheduling decisions, pricing, cancellations, no-shows, refunds, and client disputes
- Messages sent via email, SMS, or WhatsApp links (including reminders and marketing), and their timing, wording, and recipients
- Compliance with sector-specific rules (e.g. beauty, health, financial promotions) that apply to your salon
- Backups, exports, and records you need for your own business, tax, or regulatory purposes
You instruct us to process salon client data only to deliver the features you use. You remain the data controller for that client data at all times.
4. Accounts and security
- You must provide accurate business and contact information and keep it up to date.
- You are solely responsible for all activity under your organisation account, whether authorised or not, except where caused by our proven negligence in securing our own systems.
- You must configure team roles appropriately and promptly revoke access when someone should no longer use the service.
- Notify us at support@retto.app if you suspect unauthorised access; preventing misuse by your users remains your responsibility.
5. Client data, privacy, and lawfulness
You are the data controller for personal data about your clients. We act as a data processor only when storing and transmitting that data to provide the service you configure.
- You must not upload data you are not entitled to process, including special category data unless you have a lawful basis and appropriate safeguards.
- You must record marketing consent truthfully before sending promotional emails or SMS.
- You must respond to client rights requests (access, erasure, objection, etc.) for data you control.
- You indemnify us against claims, fines, and costs arising from your failure to comply with data protection or marketing laws in respect of your clients (see section 9).
Our Privacy Policy describes our limited role as platform operator and processor. It does not replace your obligations to your clients.
6. Email, SMS, and WhatsApp
- Reminder and marketing features are optional tools. Enabling them is your choice and your responsibility.
- You are solely liable for message content, recipient selection, send timing, and compliance with PECR, UK GDPR, and carrier or email provider rules.
- Delivery via Twilio, Resend, or WhatsApp (including manual wa.me links) depends on third parties. We do not guarantee delivery, read receipts, or correct routing.
- We are not responsible for client complaints, spam reports, regulatory action, or costs arising from messages your salon sends or attempts to send.
7. Acceptable use
You must not misuse Retto. We may suspend or terminate accounts that violate these Terms, pose risk to others, or attract legal or provider complaints, without liability to you for resulting loss. You remain liable to us for harm caused by your misuse.
8. Intellectual property
We own Retto, its software, branding, and documentation. You receive a limited, revocable, non-exclusive, non-transferable licence to use the service for your internal business while your account is active and in good standing. You retain ownership of data you upload, but grant us a licence to host and process it solely to operate the service.
9. Indemnity
You will indemnify, defend, and hold harmless Collective Digital UK, its owners, developers, contractors, and affiliates from and against any claims, damages, losses, liabilities, fines, penalties, costs, and expenses (including reasonable legal fees) arising out of or related to:
- Your salon's use of Retto or services you provide to your clients
- Client data you or your team process, including alleged unlawful processing or lack of consent
- Messages your salon sends or causes to be sent through the platform
- Disputes between you and your clients, staff, or other third parties
- Your breach of these Terms or applicable law
- Content you upload (including logos and marketing materials) infringing third-party rights
This indemnity is in addition to, and not in substitution for, any other remedies available to us at law.
10. Limitation of liability
Nothing in these Terms excludes liability that cannot be excluded under applicable law (including fraud, or death or personal injury caused by our negligence).
To the fullest extent permitted by law:
- We are not liable for any indirect, incidental, special, consequential, or punitive loss, including loss of profit, revenue, bookings, goodwill, data, or business opportunity.
- We are not liable for loss arising from third-party services, your internet connection, user error, or acts of your staff or clients.
- Our total aggregate liability to you for all claims arising from the service in any 12-month period is limited to the greater of (a) fees you paid us for Retto in that period, or (b) £100, except where law requires otherwise.
- Migration, import, and export tools are provided without warranty. You are responsible for verifying imported data.
11. Termination
- You may stop using the service at any time. Export data you need before closure.
- We may suspend or terminate access immediately for breach, risk to the platform, non-payment, or legal requirement, without refund unless required by law.
- On termination, we may delete organisation data after a reasonable period per our Privacy Policy. You are responsible for retaining records you are legally required to keep.
12. Governing law
These Terms are governed by the laws of England and Wales. Courts in England and Wales have exclusive jurisdiction over disputes with business customers. If any provision is unenforceable, the remainder stays in effect.
